These Terms of Service (“Terms”) constitute a legally binding agreement between ZionX (“ZionX,” “we,” “us,” or “our”) and you (the “Client,” “you,” or “your”) governing your use of ZionX’s validator infrastructure and node operations services (the “Services”).
By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.
2.1 Key Terms
“Digital Assets” means cryptographic tokens on Supported Blockchains that you delegate to validator nodes operated by ZionX.
“Supported Blockchains” means Proof-of-Stake (PoS) blockchain networks on which ZionX operates validator nodes, including but not limited to Solana, Ethereum, and other networks as specified in the Service Agreement.
“Rewards” means staking rewards, block rewards, transaction fees, and other incentives granted by Supported Blockchains to validator operators and delegators, as actually received according to each blockchain’s protocol rules.
“Net Rewards” means Rewards minus Service Fees and any applicable Slashing Penalties or blockchain-imposed deductions.
“Slashing Penalties” means penalties assessed by a Supported Blockchain pursuant to that blockchain’s protocols for validator misbehavior, including double-signing, excessive downtime, or protocol violations.
“Service Fees” means the fees charged by ZionX for validator operations services as specified in the Service Agreement or applicable pricing schedule.
“Digital Wallet” means the blockchain address you control via private keys where your Digital Assets are stored and Net Rewards are delivered.
“Service Agreement” means any separate written agreement between you and ZionX specifying service levels, performance commitments, and commercial terms.
3.1 Non-Custodial Validator Operations
ZionX provides non-custodial validator-as-a-service for Supported Blockchains. This means:
a) You retain full custody and control of your Digital Assets at all times. ZionX never takes possession of, controls access to, or maintains custody of your private keys or Digital Assets.
b) Validator operations only. ZionX operates validator node infrastructure to participate in blockchain consensus mechanisms on your behalf. We do not provide custody, wallet, exchange, or financial advisory services.
c) Delegation model. You delegate your Digital Assets to validator addresses operated by ZionX. Your Digital Assets remain on the blockchain under your control throughout the delegation period.
d) Non-custodial staking. Any staking activities are performed in a non-custodial manner where you authorize ZionX to operate validators that your delegated Digital Assets support, but ZionX never accesses your private keys or controls your assets.
3.2 Services Provided

4.1 Eligibility and Authority
You represent and warrant that:
a) You are at least 18 years of age or the age of majority in your jurisdiction.
b) If you represent an organization, you have full authority to bind that organization to these Terms.
c) Your use of the Services complies with all applicable laws, regulations, and licensing requirements in your jurisdiction.
d) You are not located in, operating from, or a citizen of any jurisdiction where the Services are prohibited or restricted.
4.2 Digital Asset Custody
You acknowledge and agree that:
a) You are solely responsible for securing your private keys, seed phrases, and access credentials to your Digital Wallet.
b) ZionX will never request your private keys, seed phrases, or wallet passwords. Any such request should be reported immediately as fraudulent.
c) Loss of private keys is irreversible. ZionX cannot recover lost private keys or access locked wallets.
d) You bear all risk associated with Digital Asset custody, including theft, loss, unauthorized access, or hardware failure.
e) You must provide accurate Digital Wallet addresses to receive Net Rewards. ZionX is not responsible for rewards sent to incorrect addresses you provided.
4.3 Compliance Obligations
You represent and warrant that:
a) Your Digital Assets are lawfully obtained and you have rightful ownership or authorization to delegate them.
b) You comply with all applicable anti-money laundering (AML), counter-terrorist financing (CTF), and sanctions laws.
c) You are not subject to economic or trade sanctions by any governmental authority.
d) You will provide accurate information required for Know Your Customer (KYC) procedures if requested.
e) You are responsible for all tax obligations arising from staking rewards and validator activities.
4.4 Technical Understanding
You acknowledge and understand:
a) Blockchain technology risks including protocol changes, network splits (forks), consensus failures, and smart contract vulnerabilities.
b) Slashing risks where validator misbehavior may result in loss of staked Digital Assets according to blockchain protocol rules.
c) Unbonding periods where Digital Assets may be locked for days or weeks when unstaking, during which time assets cannot be accessed or transferred.
d) No guaranteed returns. Rewards vary based on network conditions, validator performance, and blockchain economic policies. Historical performance does not guarantee future results.
e) Irreversible transactions. Blockchain transactions cannot be reversed, canceled, or modified once confirmed.
5.1 Service Fees
ZionX charges Service Fees as specified in your Service Agreement or applicable pricing schedule. Fee structures may include:

Service Fees may be collected:
a) Via invoice with payment due within 30 days of invoice date, or
b) Automatically on-chain through smart contracts that deduct fees from Rewards before distribution to your Digital Wallet (where supported by the blockchain).
5.3 Fee Modifications
ZionX reserves the right to modify Service Fees with 30 days’ advance written notice. Continued use of the Services after the effective date constitutes acceptance of modified fees. You may terminate the Services if you do not agree to fee modifications.
6.1 Reward Distribution
Net Rewards are distributed to your designated Digital Wallet address according to each Supported Blockchain’s protocol rules. Distribution frequency varies by blockchain (e.g., per epoch, daily, weekly).
6.2 Reward Variability
You acknowledge that:
a) Rewards are not guaranteed and vary based on network conditions, total stake, validator performance, and blockchain economics.
b) Estimates and projections provided by ZionX or third parties are informational only and do not constitute guarantees, warranties, or promises of specific returns.
c) Market conditions including token price fluctuations affect the USD or fiat value of Rewards, but ZionX’s obligations relate only to token amounts, not fiat value.
6.3 Calculation and Reporting
ZionX provides reporting tools showing:
Reports are provided for informational purposes. You are responsible for independently verifying reward amounts and reconciling with blockchain records.
7.1 Uptime Target
ZionX targets 99.9% validator uptime for Supported Blockchains, measured monthly. Uptime excludes:

7.3 No SLA Credits for Retail Clients
Unless otherwise specified in a written Service Agreement, ZionX does not provide service level agreement (SLA) credits or financial compensation for downtime affecting retail clients. Institutional clients may negotiate SLA terms separately.
8.1 Governance Rights
For blockchains with on-chain governance mechanisms, you delegate governance voting rights associated with your staked Digital Assets to ZionX.
8.2 Voting Discretion
ZionX may exercise governance voting rights at its sole discretion. ZionX is under no obligation to vote on any particular proposal or to vote in any particular manner.
8.3 Your Retained Rights
You retain the right to exercise governance voting rights directly where the applicable blockchain protocol permits. Subject to the Supported Blockchain’s technical capabilities, you may vote independently or change votes cast by ZionX.
8.4 No Governance Advice
ZionX does not provide advice on governance proposals. Our voting decisions are operational in nature and should not be construed as investment, legal, or governance recommendations.
9.1 Slashing Risk Disclosure
Validator operations on PoS blockchains carry inherent slashing risk. Slashing occurs when validators violate protocol rules, resulting in partial or total loss of staked Digital Assets.
9.2 ZionX’s Slashing Mitigation
ZionX implements industry-standard practices to minimize slashing risk:
However, ZionX cannot guarantee zero slashing events.
9.3 Slashing Liability
a) Protocol-level slashing (e.g., from double-signing, extended downtime) is governed by the applicable blockchain protocol and may result in loss of your staked Digital Assets according to protocol rules.
b) ZionX liability for slashing caused by our operational errors or negligence is limited as specified in Section 11 (Limitation of Liability).
c) Insurance. ZionX maintains operational insurance that may cover certain slashing events. Insurance coverage details, if any, will be specified in your Service Agreement.
d) Client-caused issues. ZionX is not liable for slashing resulting from your actions, including providing incorrect validator keys, failing to maintain minimum stake requirements, or withdrawing stake during critical periods.
9.4 Slashing Notification
ZionX will notify you of material slashing events affecting your delegated Digital Assets within 48 hours of detection. Notification will include:

These Terms commence on the date you first use the Services and continue until terminated by either party.
10.2 Termination by Client
You may terminate the Services at any time by:
a) Providing written notice to ZionX at info@zionx.com
b) Initiating the unstaking process through your client dashboard or directly on the blockchain
Upon termination, you remain responsible for:

ZionX may terminate the Services immediately if:
a) You breach these Terms and fail to cure within 15 days of written notice
b) You engage in fraudulent, illegal, or harmful activities
c) Providing Services to you violates applicable laws or regulations
d) You provide false or misleading information in connection with KYC/AML procedures
10.4 Effect of Termination
Upon termination:
a) ZionX will cease operating validators on your behalf
b) You must unstake your Digital Assets according to the applicable blockchain’s procedures
c) Final Net Rewards will be distributed to your Digital Wallet after the unbonding period
d) Sections that by their nature should survive (including Sections 11, 12, 14, 15) will continue to apply
10.5 No Refunds
Service Fees are non-refundable except as explicitly provided in a written Service Agreement.
11.1 DISCLAIMER OF WARRANTIES
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
ZIONX DOES NOT WARRANT THAT:
11.2 LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
a) Indirect Damages. ZIONX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR LOST BUSINESS OPPORTUNITIES, ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES.
b) Direct Damages Cap. ZIONX’S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE LESSER OF: (i) SERVICE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM, OR (ii) USD $10,000.
c) Exceptions. These limitations do not apply to:

ZIONX IS NOT LIABLE FOR:
You agree to indemnify, defend, and hold harmless ZionX, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising from or related to:
a) Your breach of these Terms
b) Your violation of applicable laws or regulations
c) Your Digital Assets, including claims of ownership disputes or improper acquisition
d) Your failure to secure your private keys or Digital Wallet
e) Third-party claims arising from your use of the Services
f) Your negligence or willful misconduct
This indemnification obligation survives termination of these Terms.
ZionX shall not be liable for any failure or delay in performing obligations under these Terms to the extent such failure or delay is caused by events beyond ZionX’s reasonable control, including but not limited to:
Upon occurrence of a force majeure event, ZionX will:
14.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of Taiwan (Republic of China), without regard to its conflict of laws principles.
14.2 Informal Dispute Resolution
Before initiating formal proceedings, the parties agree to attempt to resolve disputes through good-faith negotiation for at least 30 days.

For institutional clients with Service Agreements specifying arbitration:

14.5 Class Action Waiver
YOU AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE ACTION, WHETHER AS A CLASS REPRESENTATIVE, CLASS MEMBER, OR OTHERWISE.
14.6 Time Limitation
Any claim must be brought within one (1) year after the cause of action arises or, if different, when you knew or reasonably should have known of the facts giving rise to the claim. This limitation period applies to the fullest extent permitted by law.
15.1 Entire Agreement
These Terms, together with any Service Agreement and applicable pricing schedules, constitute the entire agreement between you and ZionX regarding the Services and supersede all prior or contemporaneous communications and proposals.
15.2 Amendments
ZionX may modify these Terms by posting the updated version on our website. Material changes will be notified via email or dashboard notification at least 30 days before taking effect (or shorter notice periods as required by law).
Continued use of the Services after the effective date constitutes acceptance of modified Terms. If you do not agree to the modifications, you must terminate the Services before the effective date.
15.3 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be modified to achieve the intended economic effect to the extent possible.
15.4 No Waiver
ZionX’s failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of ZionX.
15.5 Assignment
You may not assign or transfer these Terms or any rights or obligations hereunder without ZionX’s prior written consent. ZionX may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all assets.
15.6 Notices

15.7 Relationship of Parties
These Terms do not create any partnership, joint venture, employer-employee, or agency relationship between you and ZionX. Neither party has authority to bind the other or incur obligations on the other’s behalf.
15.8 No Third-Party Beneficiaries
These Terms are for the benefit of you and ZionX only. No third party has any right to enforce or rely upon any provision of these Terms.
15.9 Export Controls
You represent that you are not located in, operating from, or a national of any country subject to U.S., EU, UN, or other applicable export restrictions or sanctions. You will comply with all applicable export control and trade sanctions laws.
15.10 English Language
These Terms are drafted in English. Any translation is provided for convenience only. In the event of conflict between the English version and a translation, the English version shall prevail.

BY USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM. YOU FURTHER ACKNOWLEDGE THAT THESE TERMS CONSTITUTE A LEGALLY BINDING AGREEMENT BETWEEN YOU AND ZIONX.
